Philip ("Phil") Omorogbe is a senior corporate counsel specializing in technology transactions, artificial intelligence strategy, and venture capital financing. Phil advises Fortune 500 companies, emerging growth companies, and sophisticated investors, and serves as trusted strategic counsel on complex corporate matters and AI transactions.
CORPORATE ADVISORY & STRATEGIC COUNSEL
Phil serves as outside general counsel to various emerging companies, providing comprehensive corporate advisory services including board governance, equity compensation design, strategic planning, and regulatory compliance. He has guided companies from formation through multiple financing rounds, managing complex ownership transitions and implementing sophisticated governance frameworks for funds and growth-stage companies.
AI & TECHNOLOGY TRANSACTIONS
As a recognized thought leader in AI regulation and policy, Phil advises on groundbreaking AI technology transactions including data licensing and model development agreements for BigTech companies, research collaboration agreements, and AI partnership agreements. He consults at ENGR Solutions, an AI consulting agency that trains government entities on AI implementation and policy development. Phil regularly speaks at Bar Association events on AI regulation and has developed comprehensive AI training programs for public sector organizations.
VENTURE CAPITAL & EQUITY FINANCING
Phil has led equity financing transactions totaling over $200 million, representing both investors and companies across Series Seed through Series C rounds. Notable recent transactions include serving as lead attorney on a $30 million Series B financing for an international food technology company, coordinating complex multi-investor syndications, and structuring financings led by tier-one venture capital firms including Andreessen Horowitz. His investor-side representations include significant investments in cryptocurrency, legal technology, and synthetic biotechnology companies.
MERGERS & ACQUISITIONS
Phil brings substantial M&A experience from his tenure at Kirkland & Ellis, where he was a key team member on transactions totaling $7.9 billion. He has managed complex deal restructurings, drafted comprehensive transaction documentation, and coordinated multi-workstream transactions across various technology sectors.
EQUITY COMPENSATION & EMPLOYMENT

Phil designs and implements sophisticated equity compensation programs for technology companies, including stock option plans, RSU programs, and performance-based vesting structures across multiple jurisdictions. He has managed complex employment matters including executive separations, reduction-in-force initiatives, and severance negotiations.
